1. Acceptance of Terms

By accessing and using the Ai-Agtech Food and Agricultural Platform (“Platform”), you (“Member”) agree to comply with and be bound by the following Terms and Conditions. These Terms and Conditions govern your use of the Platform and the services provided by Ai-Agtech (“Company”).

2. Subscription and Membership

• Registration: Members must provide a valid business address and contact details upon registration. By subscribing, you agree to pay the applicable subscription fees and charges.
• Subscription Fees: Ai-Agtech reserves the right to change subscription fees at any time. Members will be notified of any fee changes.
• Membership Termination: Ai-Agtech reserves the right to terminate membership and take necessary action if a Member violates these Terms and Conditions. All fees and charges incurred due to such termination will be borne by the Member.

3. Content and Conduct

• Prohibited Content: Members are prohibited from uploading any content that is sexual, violent, religious, unethical, or unrelated to food and agriculture. Any content not related to the specified industries or services is also prohibited.
• Content Responsibility: Members are solely responsible for the content they upload. Ai-Agtech does not endorse or take responsibility for any content uploaded by Members.
• Right to Remove Content: Ai-Agtech reserves the right to remove any content that violates these Terms and Conditions or is deemed inappropriate.

4. Liability and Indemnity

• Service Provider Due Diligence: It is the Member’s responsibility to perform due diligence on service providers listed on the Platform. Ai-Agtech is not liable for any claims, losses, or damages arising from interactions with these service providers.
• Indemnity: Members agree to indemnify and hold harmless Ai-Agtech, its officers, directors, employees, and agents from any claims, losses, damages, or expenses arising from their use of the Platform.
• Transaction Mediator (Escrow Agent) service:  In the event members are interested in utilizing a Transaction Mediator (Escrow Agent) as an optional value-added service, they can reach out for more information by contacting us at escrow@aiagtechglobal.com. 5. Changes to Terms and Conditions

• Modification of Terms: Ai-Agtech reserves the right to change these Terms and Conditions at any time. Members will be notified of any changes, and continued use of the Platform constitutes acceptance of the modified Terms and Conditions.

6. Intellectual Property

• Ownership: All content, trademarks, service marks, and logos on the Platform are owned by Ai-Agtech or its licensors.
• Use of Intellectual Property: Members are granted a limited, non-exclusive, non-transferable license to use the content for their personal or business use in accordance with these Terms and Conditions.

7. Subscription Fees

• Ai-Agtech Subscription fees are not Refundable or Transferable.

8. Privacy and Data Protection

• Data Collection: Ai-Agtech collects personal and business information during the registration and use of the Platform. This information is used to provide and improve the services.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Malaysia.

10. Entire Agreement

These Terms and Conditions, along with the Privacy Policy and any other legal notices published by Ai-Agtech, constitute the entire agreement between you and Ai-Agtech regarding the use of the Platform.
